Estée Lauder in early talks with Puig over possible merger

No final decision has been made.

The Estée Lauder Companies Inc. said it is in preliminary discussions with Puig regarding a potential business combination that could merge the two companies.

In a statement, Estée Lauder clarified that no final decision has been made and no agreement has been reached. The company stressed that there is no assurance a deal will proceed or what its terms may be if negotiations advance.

The disclosure includes forward-looking statements under the Private Securities Litigation Reform Act of 1995, covering expectations around a possible transaction, including its timing, structure, and completion.

Estée Lauder cautioned that such statements are subject to risks and uncertainties that could cause actual outcomes to differ. These include the possibility that talks may not result in an agreement, potential regulatory hurdles, or unmet conditions necessary to complete a transaction.

The company added that it is under no obligation to update these forward-looking statements unless required by law.
